To register your company in the Commercial Register, you need to have a Dutch address. This can be your own address, if you have one, or a so-called zakenadresfor instance your accountant's address or a virtual address. If you plan on establishing your company in the Netherlands, find business premises before you register at the KVK.
There is an exception to the rule: if you live abroad in the border region, and you can prove you perform business activities in the Netherlands on a structural basis, for instance as a market vendor, you can register with your foreign address.
If you register as a sole proprietor, the KVK will pass on your details to the Dutch Tax and Customs Administration, who will issue you with a VAT identification number, to use for correspondence and invoices to your customers, and a VAT number, to use for your dealings with the Tax Administration. You will receive these numbers from the Tax and Customs Administration by post. You will need to register separately with the Tax and Customs Administration if you have chosen a private limited company or public limited company as your legal structure.
In that case, your registration at both the KVK and the Dutch Tax and Customs Administration will be handled by a civil-law notary, and you will be issued with an RSIN number identification number for legal entities and associations. Without one, the Netherlands Chamber of Commerce cannot complete your registration.

There are no legal requirements for a BV to have substance in the Netherlands. The only legal requirement is that the BV has a Dutch registered address. The BV can only have foreign directors and shareholders, and there must always be at least one shareholder, and one director, which can however be the same person or legal entity.
From a tax perspective it is in particular for international holding, financing and licensing companies recommendable to have a majority of Dutch resident directors. This is generally perceived as the minimum substance requirement for such companies to avoid dual tax residence issues and to qualify for treaty benefits.
For operational companies this risk is generally more remote, considered the local presence of the business in the Netherlands. Once your BV is incorporated, it will by its nature be considered a Dutch tax resident by the Dutch tax authorities incorporation principle. This is a generally accepted principle of international taxation. Most tax treaties concluded by the Netherlands provide that in case both treaty countries claim tax residency of the BV, it will for the application of the tax treaty deemed to be a tax resident of the country where its "effective management" is situated.
